Terms and conditions of use

Omnio Europe S.p.A. (ex Domec S.p.A. and hereafter Omnio) is a Company registered in Italy, with a registered office at Via Antonio Salandra, 13 – 00187 Roma, entered in the Commercial Register no. 07624990961, VAT no. 07624990961, invites customers to carefully read these terms and conditions of use (hereinafter the “Terms”) before making online purchases through the pay.domec.io website (hereinafter the “Site”).
By making purchases on the Site, customers fully agree to these terms and conditions of use.

1. Introduction

1.1. These Terms apply to purchases made online in Italy by customers on the Site.

1.2. These Terms are governed by Italian law in accordance with which they must be interpreted and in particular, by the Consumer Code of Legislative Decree no. 206/2005 which in articles 49 to 67 governs contracts concluded at a distance and by Legislative Decree no. 70/2003 on electronic commerce.

1.3. Digital Prepaid codes are offered for sale on the Site that allows customers to take advantage of the services and/or products offered by the companies (hereinafter the “Partners”) with which Omnio has entered into individual commercial agreements.

2. Conclusion of the digital prepaid code purchase agreement

Each order placed on the Site implies the conclusion of a contract of sale in Italian between Omnio and the customer. With reference to the service and/or product offered by Omnio Partners that can be activated through the digital prepaid code provided by Omnio, the customer enters into a contract with the respective Omnio Partner who provides the product and/or service. Information about the latter contractual relationship can be viewed on each detail page of the product and/or service.

3. Purchase and delivery of digital prepaid codes

3.1. The purchase of the product and/or service available through the digital prepaid codes for sale on the Site may be made by the customer in the following ways:
- the customer must reach the Site and navigate among the active offers;
- once the product and/or service they intend to purchase has been identified, the customer must click on the ‘Buy Now’ button located at the digital product they intend to purchase;
- on the next screen, the customer will display the price of the selected product and/or service and all the details relating to the activation instructions and the terms and conditions of use specific to each product and/or service; the usability of the product and/or service by digital prepaid code takes place on the Partner's proprietary platform;
- to confirm the purchase, the customer will need to click on the ‘Go to checkout’ button;
- on the next summary screen, the customer will be asked to enter ‘First Name’, ‘Last Name’ and ‘E-mail’ address in the appropriate fields. Once you have entered your personal data, the customer will be able to view and accept the following Terms and Conditions, by ticking the appropriate consent, then the possibility to continue with the order is enabled; Omnio requests the personal data in question for the sole purpose of the delivery of the prepaid digital code purchased;
- once the data has been entered, the customer will receive one or more verification codes on the e-mail address provided, which he will have to enter in the appropriate field that appeared on the screen in order to proceed with the payment;
- on the next order confirmation page, the customer will be asked to fill in the fields related to the chosen payment method and will have to enter the ‘Card Number’, the ‘Expiry’, the ‘CVC’ code and the ‘Country’ of invoicing. To confirm the order, the customer will need to click on the “Pay Now” button. The customer may be redirected to the Bank’s card’s website to confirm the purchase;
- once the purchase is made, Omnio will send the customer an e-mail containing the purchased prepaid digital code and the relevant payment receipt.

3.2. If the digital prepaid codes covered by the order are not available for reasons not attributable to Omnio, Omnio will notify the customer within 48 hours of purchase indicating, if possible, the waiting times to fulfill the order placed. The customer has the right to inform Omnio that he is not willing to wait for the deadline indicated, in which case the contract is terminated, and Omnio will, without delay, refund, in favor of the customer, any sum already paid.

3.3. Omnio does not take responsibility for having to obtain prepaid digital codes that are not available from other sources and is only obliged to deliver what is available in stock. The available quantities indicated on the Site in relation to a digital prepaid code are not binding on Omnio as, although Omnio constantly takes care of updating the Site, discrepancies between the actual stock availability and the available quantities indicated on the Site may occur for reasons not attributable to Omnio. In the latter case, there is no obligation on Omnio to deliver the prepaid digital codes ordered and not available in stock; Omnio, if it is not possible to fulfill the customer's order, will refund the customer without delay any sums already paid.

4. Prices and payment methods

4.1. The customer is required to pay the price of the product and/or service that can be activated by means of a digital prepaid code indicated on the Site at the time of sending the order. The price shown in this way is final and inclusive of VAT.

4.2. Prices are shown in Euro currency.

4.3. Omnio accepts different payment methods that are indicated to the customer from time to time during the purchase phase of the prepaid digital codes. Omnio guarantees the security of transactions made through partners operating in compliance with current regulations and uses an encrypted communication channel through an SSL (Secure Sockets Layer) system.

4.4. Omnio may not process the payment made by the customer in real-time. In the event of failure or cancellation of payment, for any reason, after an order has been placed, Omnio has the right to cancel the issued order. Omnio also has the right to refuse an order issued by a buyer who has not paid in whole or in part the amount of a previous order, or with whom payment disputes are pending.

4.5. Omnio carries out constant checks on all orders placed on the Site, aimed at protecting Omnio from any illegal activities carried out by customers. Omnio has the right to request from the customer the information necessary for the release of an order, including proof of domicile or charge in the name of the person indicated for the delivery or billing address.

5. Exclusion of the right of withdrawal

Digital prepaid codes offered by Omnio on the Site are products with digital content provided on non-material media pursuant to art. 59, co. 1, lett. o) of Legislative Decree no. 206/2005, therefore the customer will not be able to exercise the right of withdrawal once the digital prepaid code has been activated, except as provided by the following art. 6.3. By placing an order for the purchase of digital prepaid codes, the customer agrees to the above.

6. Delivery

Digital prepaid codes are delivered to the customer at the e-mail address indicated at the time of purchase.

7. Changes to the Site and the Terms

Omnio reserves the right to modify the Site, policies, and these Terms at any time to offer new products or services or to comply with legal or regulatory provisions. The customer will be subject to the policies and Terms in force from time to time at the moment an order is placed, unless any changes to such policies or terms are required by applicable law or relevant authorities (in which case, they will also apply to orders placed by the customer previously).

8. Intellectual property

8.1. The Site and all material contained therein are protected by copyright and intellectual property rights. Distribution and copying of any content on the Site are granted solely for personal purposes, and for non-commercial purposes.

8.2. You may not use, modify, print, display, reproduce, distribute, or publish the information contained on this Site without the written and required consent of Omnio.

8.3. The Site may contain material protected by the intellectual property rights of third parties. In such cases, permitted uses must be verified with the holders or licensees of the relevant rights.

9. Express Resolution Clauses

The failure to pay or the failure to make the payment ordered by the buyer determines the termination of the contract for default of the buyer pursuant to art. 1456 Civil Code, subject to compensation for further damage.

10. Customer support

Omnio is available to listen to any kind of comments or suggestions that may improve the service offered by Omnio.

11. Links and content from third-party sources

The Site may contain links and redirects to other sites. Omnio disclaims any responsibility in relation to the contents and materials accessible on these sites or otherwise obtained through them. All links and references to information from third-party sources may in no way be traceable to Omnio's proprietary content. The pay.domec.io site may also contain information from third-party sources, from time to time properly indicated, to which the Customer must exclusively refer for any question concerning the accuracy, truthfulness, and completeness of such information.

12. Exclusion of liability

Content posted on the Site may contain inaccurate information, typos, and typographical errors. Omnio is not responsible for damages caused or related to the reliance of the Site's customers on the information contained therein. Therefore, the user is responsible for an independent evaluation of the accuracy of the information published on this Site.

13. Improper access and unauthorized use of the site

Users are allowed to consult only the documents indicated on the pages published on the Site. It is strictly forbidden any unauthorized attempt to bypass or bypass the Site’s protection systems, to use the Site’s functions for reasons other than those for which they are intended, and to hinder the use by authorized users, as well as to access, obtain, destroy, alter, damage published information or interfere with such systems. Any improper action will be reported immediately to the competent authorities and will be prosecuted in all civil and criminal law offices competent under the current international laws and conventions.

14. Liability and Warranties

Omnio guarantees that all digital prepaid codes on the site correspond to Products or Services made with the utmost diligence and according to high-quality levels, ensuring that each of the issuing Companies (Partners) organizes at its own care and expense, the means, technical staff and anything else necessary for this purpose. Omnio guarantees that: a) the Activities and Materials will be respectively carried out and manufactured using the best technical means and employing highly qualified personnel; b) what will be carried out under the Contract will not contain elements having a nature or purpose that may cause injury to personal, moral and/or patrimonial rights of third parties, and/or violations of laws and/or regulations; c) Products or services purchased by the Customer are subject to the warranty and assistance of the manufacturer or importer, as required by current legislation.

15. Buyer’s obligations

Purchasing consumer undertakes and obliges, once the 'online' purchase procedure has been concluded, to provide for the printing and preservation of these general conditions, the prior acknowledgment and acceptance of which is, moreover, a necessary condition to make the purchase, as well as the specifications of the product object of the purchase, and this in order to fully meet the conditions set out in art. 52 and 53 of D. Lgs. 6 September 2005 n. 206. These general conditions may be updated or modified at any time by Omnio by giving notice through the site. The consumer buyer undertakes and obliges, whenever there is a change to these general conditions, to provide for their printing and storage. 16. Copyright

It is not possible to reproduce, modify, use, or transmit on other sites, even for personal purposes, the contents published on the Site except through express authorization from Omnio.
The reproduction and usage of trademarks on the Site are prohibited unless authorized by Omnio for the sole purpose of promoting and marketing digital prepaid codes. Omnio is not responsible for the content of external sites redirected from the Site.

17. Legal Jurisdiction

In accordance with the provisions of art. 63 of D.Lgs 6 September 2005 n. 206, if the buyer is a consumer, for each dispute is territorially competent to the Court of the place of residence or domicile of the consumer, if located in the territory of the Italian State. If the buyer is not a consumer, the exclusive jurisdiction of the court of Rome is agreed upon.
